1. Who can use the Service

You must be at least 18 and able to form a binding contract. The Service is a business tool intended for sellers and their teams.

2. Your account

Keep your sign-in details and multi-factor authentication device secure. You are responsible for activity under your account and for the people you invite to your workspace. Tell us promptly at support@profitoutpost.com if you suspect unauthorized use.

3. What the Service does, and what it doesn't

4. Subscription, billing and cancellation

Paid subscriptions are not yet available for purchase. This section describes how the subscription works once we offer it to you; you will not be charged unless you subscribe as described below.

5. Third-party services and integrations

The Service works with services operated by others, such as Amazon (Selling Partner API), Google (Gemini API and Google Sheets) and retailers. Connecting an integration is optional and uses the provider's own authorization process. Your use of those services is governed by their own terms and policies, including Amazon's policies for sellers and the terms of any retailer you buy from, and you are responsible for complying with them. We are not responsible for third-party services, their availability, their data or changes they make that affect the Service. You can disconnect an integration at any time.

6. Acceptable use

You agree not to:

7. Your data

You keep ownership of the information you add to the Service and the data from accounts you connect. You give us permission to host, process and display it only as needed to provide, secure and support the Service for you, as described in the Privacy Policy. You can delete your data, your workspace and your account in the Service, as described in the Privacy Policy.

8. Intellectual property

The Service, including its software, design and content (other than your data and third-party data), belongs to Daou Supplies LLC and its licensors and is protected by intellectual property laws. While these terms apply and your subscription is active, we give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your business. All rights not expressly granted are reserved. If you send us feedback, we may use it without obligation to you.

9. Suspension and termination

10. Disclaimers

To the extent permitted by law, the Service and all estimates and information in it are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation. We do not warrant the accuracy of data supplied by Amazon, Google, retailers or other third parties.

11. Limitation of liability

To the extent permitted by law:

These limits do not apply to liability that cannot be limited or excluded by law, such as liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence, and they do not limit any rights you have under mandatory consumer protection laws.

12. Indemnity

If you use the Service for a business, you agree, to the extent permitted by law, to indemnify Daou Supplies LLC against third-party claims, and related reasonable costs, arising from your breach of these terms, your violation of law or third parties' terms, or your products and selling activity. This section does not apply to the extent it is unenforceable against you as a consumer.

13. Governing law and disputes

These terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-law rules, subject to any mandatory consumer protection laws that apply to you. Any dispute arising from or relating to these terms or the Service will be brought exclusively in the state or federal courts with appropriate jurisdiction serving Henrico County, Virginia, and you and we consent to their jurisdiction, unless the law where you live gives you the right to bring a claim elsewhere. Before filing a claim, please contact us at support@profitoutpost.com so we can try to resolve it informally.

14. Changes to these terms

We may update these terms. We will post the new version here with its effective date and, for material changes, notify you by email or in the app at least 30 days before they take effect. If you don't agree, you can cancel before the changes take effect. Continuing to use the Service after that date means you accept the updated terms.

15. General

These terms and the Privacy Policy are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Neither of us is liable for delays caused by events beyond reasonable control. We may send notices to the email address on your account.
